Welcome to Bedifly (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to our website and your purchase or use of any services provided by Bedifly. By accessing our website, signing a proposal, sharing access, or making any payment, you agree to be legally bound by these Terms in full.

If you do not agree with these Terms, please do not use our services.

1. Services Offered

Bedifly provides digital, marketing, and technology services including but not limited to:

  • SEO (Search Engine Optimization)
  • Meta Ads, Google Ads & Paid Advertising
  • Digital Marketing & Lead Generation
  • AI Automation & AI Agents
  • App Development (Web & Mobile)
  • Website, SaaS & Software Development
  • Marketing Strategy, Consulting & Technical Services

All services are customized and delivered as per agreed proposals, invoices, or written communication.

2. Minimum Contract Term

  • All services are provided under a minimum mandatory contract period of three (3) months.
  • The contract starts from the date of successful one-time upfront payment.
  • This contract cannot be cancelled, paused, reduced, or terminated by the client under any circumstances.

3. One-Time Upfront Payment

  • Clients must make full payment in advance before the commencement of any service.
  • Services will not begin until payment is confirmed.
  • All payments are final and binding.

4. Non-Cancellable by Client

  • Once payment is made and services commence, the agreement is strictly non-cancellable by the client.
  • Any request for early termination, pause, or service discontinuation by the client will be rejected.
  • No refunds, credits, or adjustments will be provided in such cases.

5. Cancellation Rights Reserved by Bedifly

The contract may be cancelled or terminated only by Bedifly, at its sole discretion, if the client:

  • Engages in abusive, threatening, defamatory, or unprofessional behavior
  • Fails to cooperate or provide necessary access, data, or approvals
  • Makes unreasonable demands beyond the agreed scope
  • Violates any platform policies or applicable laws
  • Provides false, misleading, or illegal content
  • Attempts chargebacks, payment reversals, or fraudulent disputes

If terminated by Bedifly, no refund will be issued, regardless of remaining contract duration.

6. Strict No Refund Policy

  • All payments made to Bedifly are final and non-refundable.
  • No refunds will be issued under any circumstances, including but not limited to:
    • Dissatisfaction with results
    • Change of mind
    • Client-initiated cancellation
    • Delays caused by the client
    • SEO ranking or traffic fluctuations
    • Lead quality, quantity, or conversion issues
    • Advertising performance or ad disapprovals
    • Platform bans, restrictions, removals, or algorithm changes
    • Partial usage or non-usage of services

7. No Guarantees

Bedifly does not guarantee:

  • Search engine rankings
  • Number of leads, conversions, or sales
  • Revenue, profits, or ROI
  • Ad approvals or platform account stability
  • Consistent results from algorithms or third-party platforms

8. Advertising, Ad Accounts & Social Media Disclaimer

  • Any advertising account, business manager, ad account, page, profile, pixel, domain, app, or social media account (including but not limited to Google, Meta, Facebook, Instagram, WhatsApp, LinkedIn, YouTube, or any other platform) provided by the client for management remains entirely the client’s responsibility.
  • Bedifly shall not be responsible or liable if any such account:
    • Is banned, restricted, suspended, disabled, limited, shadow-banned, or permanently removed
    • Faces policy violations, ad disapprovals, spending limits, or verification failures
    • Gets hacked, compromised, accessed without authorization, or misused
    • Suffers data loss, follower loss, reach loss, or ownership disputes
    • Is affected by platform policy changes, algorithm updates, or security issues
  • All final decisions regarding accounts are made solely by the respective platforms, not Bedifly.
  • No refunds or compensation will be provided for any such incidents.

9. Client Responsibilities

Clients agree to:

  • Provide accurate information, content, and timely approvals
  • Ensure legal ownership or usage rights to all materials shared
  • Maintain account security and backups
  • Comply with platform policies and applicable laws
  • Communicate professionally and respectfully

10. Intellectual Property

  • All strategies, creatives, designs, code, AI workflows, automation logic, and content created by Bedifly remain Bedifly’s intellectual property until full payment is received.
  • Unauthorized copying, resale, redistribution, or reuse is strictly prohibited.

11. Confidentiality

Both parties agree to maintain confidentiality of:

  • Login credentials
  • Business strategies and marketing data
  • Campaign performance information
  • AI models, automation systems, and workflows

12. Third-Party Tools & Services

Bedifly may use third-party tools, APIs, or software. We are not responsible for:

  • Downtime or failures
  • Policy or pricing changes
  • Data loss outside our reasonable control

13. Limitation of Liability

To the maximum extent permitted by law:

  • Bedifly shall not be liable for indirect, incidental, or consequential damages.
  • Total liability shall not exceed the amount paid by the client for the specific service in dispute.

14. Indemnification

Clients agree to indemnify and hold Bedifly harmless from any claims, damages, losses, or legal actions arising from:

  • Client-provided content or instructions
  • Legal or platform policy violations
  • Misuse of services

15. Force Majeure

Bedifly shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet outages, cyber incidents, platform failures, or government actions.

16. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of Ahmedabad

17. Changes to Terms

Bedifly reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.
